Acceptance of terms

By accessing or using joshiestates.com, submitting a form, or otherwise interacting with Joshi Estates LLC(“Joshi Estates,” “we,” “us”), you agree to these Terms of Service. If you do not agree, do not use the site.

Service description

Joshi Estates is a real estate wholesaler and contract intermediary. We locate off-market residential properties, enter into purchase contracts with sellers, and may assign those contracts to investor partners (cash buyers, landlords, or rehabbers). We are not a licensed real estate broker, not a lender, and not your agent or fiduciary. Any cash offer we present is a private purchase price proposal and is not an appraisal, broker price opinion, or valuation under any professional standard.

Eligibility

You represent that you are at least 18 years old and that, with respect to any property you submit, you are the legal owner of record or an authorized agent with written authority to market and sell that property.

No warranty

The site and our services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that any offer will be made, that any specific offer amount will be reached, that a closing will occur by a particular date, or that any investor will purchase or assume your contract.

Limitation of liability

To the maximum extent permitted by law, Joshi Estates LLC and its members, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the site or our services. Our aggregate liability for any claim arising out of or related to these Terms or the site will not exceed the greater of one hundred U.S. dollars ($100) or the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. Sellers typically pay us no fees, in which case the cap is $100.

Indemnification

You agree to indemnify, defend, and hold harmless Joshi Estates LLCfrom and against any claims, damages, losses, and reasonable attorneys’ fees arising out of or related to (a) your breach of these Terms, (b) your misrepresentation of property condition, ownership, title, occupancy, or liens, or (c) your violation of any applicable law in connection with a property you submit.

Governing law

These Terms are governed by the laws of the State of IA, excluding its conflict-of-laws principles. Any non-arbitrable dispute will be brought exclusively in the state or federal courts located in IA.

Dispute resolution

Before filing a claim, the parties will attempt in good faith to resolve the dispute informally for at least thirty (30) days after written notice. If unresolved, the dispute will be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, seated in a county of the State of IA. Judgment on the award may be entered in any court of competent jurisdiction. Class actions, class arbitrations, and representative actions are waived.

30-day right to opt out of arbitration. You may opt out of this arbitration agreement by emailing business@joshiestates.com within thirty (30) days of first accepting these Terms with the subject line “Arbitration Opt-Out” and your full legal name. Opting out will not affect any other provision of these Terms.

Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.

Changes to these terms

We may update these Terms from time to time. When we do, we will move the “Last updated” date above. Your continued use of the site after a change takes effect constitutes your acceptance of the revised Terms.

Your use of the site is also governed by our Privacy Policy, which explains what we collect and how we use it.
